Cannon Core Terms of Service

1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you") and Cannon Core ("Company", "we", "us", or "our"), concerning your access to and use of the Cannon Core website, https://CannonCore.com, and any related media, mobile applications, or services (collectively, the "Site"). We are registered in Montana, United States, with our office at 240 Lyndale Ln., Butte, MT 59701. By accessing the Site, you agree to these Terms of Service. If you do not agree, you must not use the Site.

The Site is not intended for distribution or use where prohibited by law. Users accessing the Site from other jurisdictions are responsible for compliance with local laws. The Site is not tailored for industry-specific regulations (e.g., HIPAA, FISMA). If your interactions are subject to such laws, you may not use the Site. The Site is intended for users 18 years or older.

Fair Use Policy: To ensure equitable access, our services may include usage limits (e.g., data, interactions). Excessive use, including automation or repetitive actions, may result in service restrictions or additional charges, at our discretion.

Changes to Terms: We may modify these Terms at any time without notice. Changes will be posted on the Site with the updated Effective Date. Continued use after changes constitutes acceptance. Review these Terms regularly.

2. SERVICE DESCRIPTION

Cannon Core provides custom software solutions, consulting services, and digital platform for communication and content management. Services may include:

• Cloud-based software access, consulting for business optimization, and content creation tools
• AI-driven analytics and tools

Services may require payment based on usage or subscription plans. We reserve the right to modify or discontinue services without notice. Cannon Core is not liable for any service modifications or interruptions. Our services do not support 911 or emergency calling; use your phone provider for emergencies.

3. INTELLECTUAL PROPERTY RIGHTS

The Site and all content, including source code, designs, text, graphics, and logos (collectively, "Content"), and trademarks or service marks ("Marks") are owned or licensed by us, protected by U.S. and international copyright and trademark laws. Content is provided "AS IS" for personal, non-commercial use only. No Content or Marks may be copied, reproduced, or exploited without our written permission.

Eligible users are granted a limited, non-commercial license to access and use the Site and download Content for personal use. All other rights are reserved.

4. USER REPRESENTATIONS

By using the Site, you warrant that:

1. All registration information is true, accurate, current, and complete;
2. You will maintain and update this information;
3. You have legal capacity and agree to these Terms;
4. You are 18 or older;
5. You will not use automated or non-human means to access the Site;
6. You will not use the Site for illegal purposes;
7. Your use will not violate applicable laws.

Providing false information may result in account suspension or termination.

5. USER REGISTRATION

You may need to register to use the Site. You are responsible for keeping your password confidential and all account activity. We may remove or change usernames deemed inappropriate.

6. PAYMENTS AND FEES

Some services require payment. Fees are set at the time of purchase and may include subscriptions or per-use charges. We may collect a platform fee. Payments can be made via credit card. All payments are final; no refunds are provided unless required by law.

We may correct pricing errors or refuse orders. Recurring charges will continue until you cancel, without prior approval for each charge.

7. CANCELLATIONS

You may cancel subscriptions via the Site or by contacting us at [email protected]. No refunds or pro-rata adjustments will be provided for cancellations. Allow 72 hours for cancellation processing. Unused services are forfeited. We may terminate services at any time without notice or liability. All purchases are final.

8. PROHIBITED ACTIVITIES

You may not use the Site for purposes other than intended. Prohibited activities include:

• Systematically collecting data without permission.
• Attempting to access sensitive account information.
• Interfering with security features.
• Harassing or harming others.
• Using automated systems (e.g., bots, scripts).
• Engaging in illegal activities or violating laws.

Violation may result in account suspension or termination.

9. USER-GENERATED CONTENT

You may submit content (e.g., text, images, videos) ("Contributions"). Contributions are non-confidential and may be viewed by others. You warrant that Contributions:

• Do not infringe third-party rights.
• Are created or licensed by you.
• Are not false, misleading, or objectionable.
• Comply with all laws.

Violations may result in content removal or account termination.

10. CONTRIBUTION LICENSE

By posting Contributions, you grant us an unrestricted, perpetual, royalty-free license to use, reproduce, distribute, and create derivative works of your Contributions for any purpose. You retain ownership but waive moral rights. We may edit or remove Contributions at our discretion.

11. MOBILE APPLICATION LICENSE

If accessing via a mobile app, you are granted a limited, revocable license to use the app on your device. You may not:

• Reverse engineer or modify the app.
• Use it for commercial purposes.
• Violate applicable laws.

For apps from Apple or Google Play, additional terms apply per their policies.

12. THIRD-PARTY WEBSITES AND CONTENT

The Site may link to third-party websites or content. We are not responsible for their accuracy, privacy practices, or policies. Use third-party sites at your own risk.

13. SITE MANAGEMENT

We may monitor the Site, take legal action against violators, restrict access, or remove content at our discretion to protect our rights and ensure proper Site function.

14. PRIVACY POLICY

Review our Privacy Policy at https://cannoncore.com/privacy. By using the Site, you agree to data processing in the United States.

15. COPYRIGHT INFRINGEMENT

Notify us at [email protected] if you believe content infringes your copyright. False claims may result in liability.

16. TERM AND TERMINATION

These Terms remain in effect while you use the Site. We may terminate or suspend your access without notice for any reason, including breach of these Terms. You may not create a new account after termination.

17. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Site without notice. We are not liable for interruptions or unavailability.

18. GOVERNING LAW

These Terms are governed by Montana law, without regard to conflict of law principles.

19. DISPUTE RESOLUTION

Informal Negotiations: Disputes must be negotiated informally for 30 days before arbitration.

Binding Arbitration: Unresolved disputes will be arbitrated under AAA Commercial Arbitration Rules in Butte, Montana. You waive the right to a jury trial. Arbitration fees follow AAA Consumer Rules.

Exceptions: Disputes over intellectual property, theft, or injunctive relief may proceed in court in Butte, Montana. Disputes must be brought within one year.

20. DISCLAIMER

The Site is provided "AS IS." We disclaim all warranties and are not liable for errors, damages, or third-party content.

21. LIMITATIONS OF LIABILITY

Our liability is limited to amounts paid by you in the six months prior to a claim. We are not liable for indirect or consequential damages.

22. INDEMNIFICATION

You agree to indemnify us against claims arising from your use, Contributions, or breach of these Terms.

23. USER DATA

You are responsible for data you transmit. We are not liable for data loss or corruption.

24. ELECTRONIC COMMUNICATIONS

You consent to electronic communications and signatures, satisfying legal requirements for written records.

25. MISCELLANEOUS

These Terms are the entire agreement. Our failure to enforce provisions is not a waiver. Invalid provisions are severable. No joint venture or agency is created.
